Terms of Service

Welcome to AXLE Health & Performance Inc. ("Axle," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Axle mobile application, website, and related services (collectively, the "Services"). By accessing or using Axle, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. Our Privacy Policy also governs your use of the Services and explains how we collect, safeguard, and disclose information.
1. Purpose of Axle
Axle is a health and wellness application designed to help users make informed daily decisions related to movement, training, recovery, and lifestyle behaviors. Axle provides personalized guidance based on user-provided information, connected wearable data, device signals, and contextual factors such as time and location. Axle is not a medical service and does not provide medical advice, diagnosis, or treatment.
2. Eligibility
You must be at least 18 years old to use the Services. By accessing or using Axle, you represent and warrant that:
- You are at least 18 years of age;
- You have the legal capacity to enter into a binding agreement; and
- Your use of the Services complies with all applicable laws and regulations.
3. Health & Fitness Disclaimer
Axle provides general health, fitness, and wellness guidance for informational purposes only. AXLE IS NOT A MEDICAL PROVIDER. Nothing in the Services should be construed as medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional before beginning or modifying any exercise, nutrition, or wellness program.
By using Axle, you acknowledge and agree that:
- Physical activity carries inherent risks;
- You voluntarily assume all risks associated with your participation;
- You are solely responsible for knowing your physical limitations; and
- You will stop any activity that causes pain, dizziness, or discomfort.
4. Communications
By creating an account on our Services, you agree to receive newsletters, marketing or promotional materials, and other information we may send. You may opt out of receiving any or all of these communications by following the unsubscribe link in any email or by contacting us at hunter@axlehealthinfo.com.
5. User Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate, complete, and current information at all times;
- Keep your login credentials secure and restrict access to your account;
- Notify Axle immediately of any unauthorized access or security breach; and
- Accept responsibility for all activity that occurs under your account.
You may not use a username that impersonates another person or entity, infringes on any trademark or proprietary rights, or is offensive, vulgar, or obscene. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.
6. Subscriptions & Billing
Axle offers Free and paid subscription tiers (including Plus and Pro).
6.1 Billing
- Paid subscriptions are billed in advance on a recurring basis;
- Billing cycles are set on a monthly or annual basis, depending on the plan selected;
- Subscriptions automatically renew unless canceled before the renewal date;
- A valid payment method is required to process subscription fees.
6.2 Free Trial
Axle may, at its sole discretion, offer a subscription with a free trial for a limited period. If billing information is required, you will not be charged until the free trial has expired. On the last day of the free trial period, unless you cancel, you will be automatically charged the applicable subscription fees.
6.3 Fee Changes
Axle may modify subscription fees at any time. Any fee change will become effective at the end of the then-current billing cycle. Axle will provide reasonable prior notice of any fee changes.
6.4 Cancellation & Refunds
- You may cancel at any time through your account settings;
- Cancellation takes effect at the end of the current billing period;
- Axle does not provide refunds for unused portions of a billing cycle unless required by law;
- Refunds for contracts may be issued within ninety (90) days of the original purchase at Axle's discretion.
7. Data, Privacy & Data Rights
Your use of Axle is subject to our Privacy Policy. By using the Services, you consent to the collection and processing of data including, but not limited to:
- Account and profile information;
- Workout, training, and activity data;
- Wearable and connected device data (if enabled);
- Location, time-of-day, and contextual signals (if enabled); and
- App interaction, engagement, and behavioral data.
7.1 Use of Data
Axle may use collected data to personalize recommendations and guidance; improve algorithms, scoring systems, and Services performance; conduct analytics, research, and product development; and support safety, fraud prevention, and compliance obligations.
7.2 Aggregated, Anonymized & De-Identified Data
Axle may aggregate, anonymize, or de-identify user data such that it cannot reasonably be used to identify an individual user. Axle may use, analyze, license, sell, or otherwise commercialize such aggregated or de-identified data for lawful business purposes.
7.3 User-Directed Data Sharing
Axle may allow users to voluntarily share certain data with third parties, including healthcare providers, coaches, trainers, researchers, or other wellness professionals. Any such sharing is initiated by the user and subject to the terms and privacy practices of the receiving party.
7.4 Research & Development Use
Axle may use collected data to support internal research, external research collaborations, and validation of wellness, fitness, and behavioral insights, subject to applicable laws and ethical standards.
8. User Responsibilities & Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services for any unlawful or unauthorized purpose;
- Misrepresent your identity or data;
- Exploit, harm, or attempt to harm minors in any way;
- Transmit any advertising, spam, or unsolicited communications;
- Attempt to reverse engineer, decompile, or exploit Axle systems or software;
- Interfere with the operation, security, or integrity of the Services;
- Use any automated tool, bot, spider, or scraper to access the Services;
- Upload or transmit viruses, malicious code, or any harmful content;
- Attempt to gain unauthorized access to any part of the Services; or
- Take any action that may damage or falsify Axle's reputation or ratings.
9. Analytics
We may use third-party service providers to monitor and analyze the use of our Services, including Google Analytics. For more information on Google's privacy practices, please visit policies.google.com/privacy.
10. Intellectual Property
All content, algorithms, scoring systems, recommendations, designs, models, reports, and software associated with Axle are owned exclusively by Axle Health & Performance Inc. or its licensors and are protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes.
11. Copyright Policy & DMCA
We respect the intellectual property rights of others. If you believe that content on our Services infringes upon your copyright, please submit a claim to hunter@axlehealthinfo.com with the subject line "Copyright Infringement."
12. Third-Party Services & Links
Axle may integrate with or link to third-party services. Axle is not responsible for the availability, accuracy, content, privacy policies, or practices of any third-party services or websites.
13. Error Reporting & Feedback
You may provide us with feedback, suggestions, or error reports by contacting us at hunter@axlehealthinfo.com. You grant Axle and its affiliates an exclusive, transferable, irrevocable, royalty-free, sublicensable, unlimited, and perpetual right to use feedback in any manner and for any purpose.
14. Termination
Axle may suspend or terminate your access to the Services immediately, without prior notice or liability, at our sole discretion, for any reason including violation of these Terms, suspected misuse or abuse, or legal or regulatory requirements.
15. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AXLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. AXLE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AXLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
17. Indemnification
You agree to indemnify and hold harmless Axle Health & Performance Inc. and its officers, directors, employees, and partners from any claims, damages, losses, liabilities, costs, or expenses arising out of your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party rights.
18. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved through binding arbitration, except where prohibited by law.
19. Waiver and Severability
No waiver by Axle of any term or condition shall be deemed a continuing waiver. If any provision is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
20. Changes to Terms
Axle may update these Terms from time to time. Material changes will be communicated through the Services or via email. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
